By accessing the Website, submitting an inquiry, signing a proposal, paying an invoice, or otherwise engaging Hotkey Labs for services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Hotkey Labs is a virtual design and development studio providing professional creative services, including but not limited to:

- Website design
- Framer development
- Next.js development
- Custom code
- Databases
- UI/UX design
- Logo design
- Branding and visual identity
- Landing pages
- Website redesigns
- Website optimization
- Design systems
- Creative consulting
- Ongoing website support and maintenance where agreed upon
Specific deliverables, timelines, pricing, and scope are governed by an accepted proposal, agreement, invoice, subscription, or statement of work between Hotkey Labs and the Client.
2. Eligibility
By using the Website or engaging our services, you represent and warrant that:
- You are at least 18 years of age.
- You have authority to bind yourself or the organization you represent.
- You will provide accurate information.
- You will comply with all applicable laws.
- You will not use the Website for any unlawful or prohibited purpose.
3. Intellectual Property
Unless otherwise stated, the Website—including its content, copy, branding, graphics, source code, layouts, designs, icons, logos, illustrations, images, videos, and functionality—is owned by TRI STUDIO LLC and protected under United States and international intellectual property laws.

4. Ownership of Client Projects
Upon full payment of all invoices relating to a project:
- The Client receives ownership of the final approved design deliverables specifically created for the project.
- Ownership does not transfer until all outstanding balances have been paid in full.
- Hotkey Labs retains ownership of all preliminary concepts, unused design explorations, internal processes, templates, workflows, frameworks, reusable code libraries, design systems, proprietary tools, and methodologies developed independently of the Client's project.
Unless otherwise agreed in writing, ownership excludes:
- Licensed fonts
- Stock photography
- Third-party illustrations
- Third-party plugins
- Third-party software
- CMS platforms
- Hosting platforms
- Proprietary software owned by others
These items remain subject to their respective vendors and licenses.
5. Client Materials
The Client represents and warrants that all materials supplied to Hotkey Labs—including logos, text, photos, videos, trademarks, designs, documents, and other assets—are either owned by the Client or properly licensed.
The Client agrees to indemnify Hotkey Labs against any claims arising from materials supplied by the Client.
6. Third-Party Services
Projects may utilize third-party platforms including, but not limited to:
- Framer
- Figma
- Google Fonts
- Adobe
- CMS providers
- Hosting providers
- Analytics platforms
- Form providers
- Payment processors
- AI-powered services
Hotkey Labs is not responsible for:
- Platform outages
- Platform pricing changes
- Service discontinuation
- Third-party bugs
- Licensing changes
- API limitations
- Security incidents caused by third parties
Clients remain responsible for maintaining any required subscriptions through project completion unless otherwise agreed.
7. Payments
Payment terms are outlined in the applicable proposal or invoice.
Unless otherwise stated:
- One-time payments are made before work begins.
- Clients subscribed to monthly retainers are due according to the agreed schedule.
- Late invoices may incur interest permitted by Missouri law.
- Work may be paused for overdue balances.
- Final deliverables may be withheld until payment has been received in full.
The Client remains responsible for all applicable taxes unless exempt.
8. Scope Changes
Any work requested outside the agreed project scope constitutes a scope change.
Scope changes may include:
- Additional website pages
- Additional design revisions
- New functionality
- Copywriting beyond original scope
- Brand strategy additions
- Integrations
- Animations
- New design directions
- Additional meetings
Hotkey Labs reserves the right to provide a revised estimate before beginning additional work.
9. Client Responsibilities
The Client agrees to:
- Provide requested content in a timely manner.
- Review deliverables promptly.
- Designate a primary point of contact.
- Respond to approval requests within a reasonable timeframe.
- Obtain any necessary legal approvals.
- Maintain ownership or licensing for supplied materials.
Delays caused by the Client may result in adjusted timelines.
10. Revisions
Unless otherwise specified in writing:
- Revisions are limited to those included within the agreed proposal.
- Revision requests should be consolidated whenever practical.
- Requests that substantially alter previously approved work may be treated as additional billable work.
11. Project Timelines
Estimated completion dates are good-faith estimates only.
Project schedules may be affected by:
- Client response times
- Third-party vendors
- Technical limitations
- Scope changes
- Force majeure events
Hotkey Labs is not liable for delays outside its reasonable control.
12. Website Launch
Where Hotkey Labs performs website deployment:
The Client is responsible for:
- Domain ownership
- DNS access
- Hosting accounts
- Platform subscriptions
- Email configuration unless specifically included
Following launch, the Client should promptly review the website and notify Hotkey Labs of any material issues.
13. Browser Compatibility
Hotkey Labs develops websites using current industry standards.
While reasonable efforts are made to ensure compatibility across modern browsers and devices, identical appearance or functionality across every browser, operating system, screen size, or future software update cannot be guaranteed.
14. Marketing and Search Engine Optimization
Unless specifically included in a proposal, any Marketing and/or SEO services are not part of standard projects.
Hotkey Labs makes no guarantee regarding:
- Search rankings
- Organic traffic
- Lead generation
- Conversion rates
- Revenue increases
- Search engine indexing
15. Maintenance and Support
Maintenance services are only provided when expressly included in a maintenance agreement or ongoing service plan.
Absent such an agreement, responsibility for updates, hosting, backups, security, software updates, and ongoing maintenance transfers to the Client following project completion.
17. Refund Policy
Due to the custom nature of creative services:
- Deposits are non-refundable.
- Payments for completed work are non-refundable.
- Subscription or recurring service payments, where applicable, are non-refundable once work has commenced during the billing period.
Refund requests are evaluated solely at Hotkey Labs's discretion.
18. Acceptable Use
You agree not to:
- Violate applicable law.
- Attempt unauthorized access to our systems.
- Upload malicious software.
- Copy or scrape Website content.
- Reverse engineer Website functionality.
- Misrepresent your identity.
- Interfere with Website operations.
Hotkey Labs may suspend access for violations of these Terms.
19. Privacy
Your use of the Website is also governed by our Privacy Policy.
By using the Website, you consent to the collection and processing of information as described therein.
20. Disclaimers

21. Limitation of Liability
To the fullest extent permitted under Missouri law, TRI STUDIO LLC, its members, employees, contractors, affiliates, and representatives shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from:
- Use of the Website
- Delay of services
- Lost profits
- Lost business opportunities
- Lost revenue
- Loss of data
- Business interruption
Our total liability arising from any claim shall not exceed the total amount actually paid by the Client for the specific services giving rise to the claim.
22. Indemnification
The Client agrees to defend, indemnify, and hold harmless TRI STUDIO LLC and its owners, members, employees, contractors, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising from:
- Client-provided content
- Violation of these Terms
- Infringement of third-party rights
- Illegal use of delivered work
- Misuse of the Website
23. Force Majeure
Hotkey Labs shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, governmental actions, internet outages, cyberattacks, labor disputes, pandemics, or failures of third-party providers.
24. Governing Law
These Terms shall be governed by and interpreted under the laws of the State of Missouri, without regard to conflict of law principles.
25. Dispute Resolution
